MIND WELLNESS TERMS AND CONDITIONS
1. INTRODUCTION

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (“you” or “Patient”) and Mind Wellness, an online mental health practice, regarding your access to and use of the Mind Wellness website (the “Site”) and any services offered through it (collectively, the “Services”). By accessing, browsing, or using the Site, or by scheduling an appointment or providing any personal information through the Site, you agree that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other notices or policies posted on the Site.

If you disagree with these Terms, you must not access or use our Services. Mind Wellness reserves the right to update, amend, or modify these Terms at any time, and such changes will be effective upon posting. Continued use of the Site after changes are made constitutes your acceptance of the revised Terms.

1.1 About Mind Wellness

Mind Wellness is an online psychiatric telehealth practice that provides virtual mental health services to patients. Our services currently include diagnostic psychiatric evaluations and medication management, primarily for conditions such as anxiety, depression, and attention-deficit/hyperactivity disorder (ADHD). We do not currently provide therapy or counseling services through the platform, although we may expand our offerings in the future.

All appointments are conducted via telehealth and must be booked online through our designated scheduling platform. Licensed psychiatric professionals provide services, and all interactions are subject to applicable healthcare regulations, privacy laws, and telehealth requirements of the states where services are rendered.

1.2 Eligibility to Use Services

By using this Site or any Services offered by Mind Wellness, you represent and warrant that:

  • You are at least 18 years old, or are the legal parent or guardian providing consent for a minor patient;

  • You are legally capable of entering into a binding contract under applicable law;

  • You will provide truthful, accurate, and complete information during intake and appointment booking processes;

  • You are not accessing the Site or Services for any unlawful or unauthorized purpose.

Use of the Services is void where law prohibits, and Mind Wellness reserves the right to refuse access to any user who does not meet these eligibility requirements.

1.3 Service Availability by State (California and Nevada Only)

Mind Wellness provides psychiatric services solely to individuals physically located in California or Nevada at the time of service. This restriction is based on the licensing requirements of the providers delivering care. You acknowledge and agree that you will not attempt to access or utilize the Services if you are not in these states at your appointment.

If you schedule an appointment while located outside of California or Nevada, your appointment may be canceled, and you may be ineligible for a refund. Before using our services, you are responsible for ensuring compliance with this geographic limitation.

2. SCOPE OF SERVICES
2.1 Nature of Services Provided

Mind Wellness is a telehealth-based psychiatric practice that offers professional mental health services to patients. All services are delivered remotely using secure virtual communication tools. The practice specializes in evaluating, diagnosing, and managing certain mental health conditions through psychiatric assessments and medication management.

Mind Wellness does not offer emergency services or crisis intervention. Patients experiencing a medical or psychiatric emergency must call 911 or go to the nearest emergency room immediately.

2.2 Psychiatric Evaluations and Follow-up Appointments

The core services currently offered by Mind Wellness include:

  • Initial Psychiatric Evaluations: Comprehensive assessments conducted by licensed providers to evaluate mental health conditions such as anxiety disorders, depression, and ADHD.

  • Follow-up Appointments: Ongoing check-ins to monitor progress, manage treatment plans, and adjust medications as needed.

These appointments are strictly clinical and do not include guaranteed access to medication, therapy, or other services outside the scope of psychiatric evaluation and medication oversight. All appointments must be booked online, and services are subject to availability.

2.3 Exclusion of Therapy Services

Mind Wellness does not currently provide psychotherapy, counseling, or talk therapy services. The Services are limited to psychiatric evaluation and medication management. If you require therapy or non-medication-based mental health support, you should seek care from a licensed therapist or counselor.

While the practice may expand its service offerings in the future, no therapy services are included or implied as part of the current scope of care.

2.4 No Guarantee of Medication Fulfillment

Following a psychiatric evaluation, a licensed provider may determine that prescription medication is appropriate for your treatment plan. However, Mind Wellness does not guarantee that any specific medication will be prescribed nor that a prescribed medication will be available at your chosen pharmacy.

Some medications, including those classified as controlled substances (e.g., Adderall or similar stimulants), may be subject to regulatory restrictions, supply shortages, or pharmacy discretion. Mind Wellness is not responsible for the availability, cost, and delivery of any prescribed medication. Patients are solely responsible for coordinating prescription fulfillment with their pharmacy and insurer. Mind Wellness shall not be held liable for the inability to obtain medications its providers recommend.

3. BOOKING AND ONBOARDING
3.1 Online Appointment Scheduling via Acuity

All appointments with Mind Wellness must be scheduled through our online booking platform, Acuity Scheduling. Patients are responsible for selecting an available time slot that fits their schedule and completing the necessary booking steps as prompted. Mind Wellness does not currently accept walk-in or phone-based appointment requests.

A booking is not considered final until the patient has completed all required steps, including payment authorization (if applicable), and received a confirmation email. Mind Wellness reserves the right to cancel or reschedule appointments at its discretion due to provider availability or unforeseen circumstances.

3.2 Pre-Screening Questionnaire Prior to Booking

As part of the booking process, patients must answer a brief set of screening questions regarding their symptoms. These questions help determine whether Mind Wellness's services are appropriate for the patient’s needs and ensure compliance with clinical and licensing standards.

By submitting responses, you confirm that the information provided is accurate and complete to the best of your knowledge. Failure to provide truthful answers may result in delayed care, cancellation of services, or termination of the provider-patient relationship.

3.3 Consent Forms Requirement Prior to Service

Before receiving any services from Mind Wellness, patients must sign and return all required consent forms, including telehealth consent, general treatment consent, and acknowledgment of policies regarding cancellations, billing, and medication limitations.

These forms will be sent electronically following appointment confirmation and must be completed prior to the scheduled appointment time. Failure to complete these forms on time may result in appointment cancellation and/or a no-show fee.

3.4 Confirmation of Appointment and Communication

Upon successful booking, patients will receive an email confirmation that includes appointment details, the provider's name, instructions for accessing the telehealth session, and links to required consent forms. Reminder emails or text messages may also be sent prior to the appointment.

The patient is responsible for monitoring their email (and, optionally, text messages, if opted in) for all communications from Mind Wellness. The practice is not responsible for missed appointments due to failure to check or respond to electronic communications.

4. PATIENT OBLIGATIONS
4.1 Accurate Disclosure of Symptoms and Medical Information

information regarding their symptoms, medical history, medication use, and any other information requested during the intake or treatment process. This includes responses given during the initial screening questionnaire and verbal disclosures during evaluations and follow-up appointments.

Failure to provide accurate or complete information may impair the provider’s ability to deliver safe and effective care. It may result in the cancellation of services, refusal to prescribe medications, or termination of the patient-provider relationship.

4.2 Responsibility for Medication Access

If a licensed provider recommends or prescribes medication as part of a treatment plan, the patient is solely responsible for obtaining the medication from a licensed pharmacy of their choice. Mind Wellness does not guarantee the availability or fulfillment of any prescribed medication. It has no control over whether a pharmacy will stock, fill, or dispense a prescription—particularly in the case of controlled substances such as Adderall, which may be subject to stricter regulation and limited supply.
If a licensed provider recommends or prescribes medication as part of a treatment plan, the patient is solely responsible for obtaining the medication from a licensed pharmacy of their choice. Mind Wellness does not guarantee the availability or fulfillment of any prescribed medication. It has no control over whether a pharmacy will stock, fill, or dispense a prescription—particularly in the case of controlled substances such as Adderall, which may be subject to stricter regulation and limited supply.

Mind Wellness will not issue refunds or assume responsibility for any delays, denials, or difficulties patients encounter in obtaining prescribed medications, regardless of the reason.

4.3 Responsibility to Check Insurance Eligibility

Mind Wellness allows patients to submit insurance information when booking; however, it is the patient’s sole responsibility to verify with their insurance provider whether telehealth psychiatric services are covered under their plan and whether Mind Wellness is an in-network provider (if applicable).

Patients who proceed without confirming coverage do so at their own risk and remain financially responsible for all service fees, including in the event of insurance denial or partial reimbursement. Mind Wellness may charge fees to the card on file for uncovered services or non-payment by insurance.

4.4 Minimum Age Requirement and Parental Consent for Minors (if applicable)

Mind Wellness generally provides services to patients aged 18 and older. In cases where services are provided to minors, such services may only be rendered with the informed consent of a parent or legal guardian in compliance with applicable state laws.

The parent or guardian must also complete all required documentation and may be required to attend portions of the telehealth appointment, depending on the nature of the services and legal requirements. Mind Wellness reserves the right to decline treatment to minors in cases where consent or legal authorization is not established.

5. PAYMENT AND BILLING
5.1 Payment Methods Accepted

Mind Wellness accepts payment through secure third-party platforms as part of the online booking process. Accepted payment methods include major credit and debit cards. Payment is typically processed during or immediately following the booking of your appointment. All transactions are processed in U.S. dollars (USD).

Mind Wellness does not accept cash, checks, or money orders and reserves the right to update accepted payment methods without prior notice.

5.2 Insurance and Cash Pay Options

Patients can submit insurance information during booking or pay out-of-pocket (cash pay) for services.

Providing insurance information does not guarantee coverage or payment. Patients are responsible for verifying insurance eligibility and understanding their benefits, co-pays, deductibles, and any out-of-network charges prior to the appointment. If insurance fails to cover the service or covers only part of the fee, the patient remains financially responsible for the balance.

Mind Wellness reserves the right to bill the card on file for any portion of fees not paid by insurance.

5.3 Credit Card Storage and Authorization

Mind Wellness requires patients to provide a valid credit or debit card when booking to streamline billing. This card will be securely stored on file using a PCI-compliant third-party payment processor. It may be charged for appointment fees, No-show or late cancellation fees, and insurance denials or unpaid balances.

By submitting your payment information, you authorize Mind Wellness to store and use your card for these purposes. If your card is declined or invalid, you agree to update your payment method to avoid service disruption promptly.

5.4 No Refunds for Completed Services

All fees for services rendered are non-refundable. No refunds will be issued once a scheduled appointment has occurred—regardless of the outcome or satisfaction with the visit. This includes situations where the provider determines that no medication is appropriate, the patient disagrees with the clinical assessment or plan, or the patient is dissatisfied with insurance coverage or cost. Mind Wellness charges for the time and expertise of its licensed providers, not the guarantee of a particular outcome.

5.5 Payment for Services Regardless of Pharmacy Fulfillment

Mind Wellness is not responsible for the availability of medications at third-party pharmacies. If a provider prescribes medication and the patient cannot obtain it—due to pharmacy restrictions, medication shortages, regulatory limitations, or insurance denial—no refund or discount will be issued.

Patients are advised to confirm with their pharmacy and insurer whether they can access prescribed medications, especially controlled substances such as Adderall, prior to booking or continuing treatment.

6. CANCELLATION AND NO-SHOW POLICY
6.1 Required Notice for Cancellation (24 Hours Minimum)

Mind Wellness understands that scheduling conflicts may arise and allows patients to cancel or reschedule appointments as needed. However, to ensure fair access to care and respect provider time, patients must provide at least twenty-four (24) hours advance notice if they wish to cancel or reschedule a confirmed appointment.

Failure to provide timely notice may result in a late cancellation fee, as outlined below. Patients are encouraged to cancel as early as possible to avoid unnecessary charges and to allow the slot to be offered to another patient.

5.2 No-Show and Late Cancellation Fees ($25 Fee)

If a patient fails to attend a scheduled appointment without notice (“No-Show”) or cancels or reschedules with less than 24 hours’ notice, a $25 fee will be charged to the credit card on file.

This fee helps cover the provider’s reserved time and administrative costs. Patients who repeatedly miss or cancel appointments without adequate notice may be subject to discharge from the practice at the discretion of Mind Wellness.

Please note: Insurance does not cover missed appointment fees. These charges are the sole responsibility of the patient.

6.3 How to Cancel or Reschedule

To cancel or reschedule an appointment, patients must use the instructions or links provided in their appointment confirmation email or contact Mind Wellness directly through the designated communication method listed on the website. Do not reply to automated messages, as these may not be monitored.

The patients are responsible for ensuring that cancellation or rescheduling requests are received and confirmed at least 24 hours before. Mind Wellness is not responsible for delays caused by technical issues, email filtering, or failure to follow the appropriate cancellation process.

7. PRESCRIPTION AND MEDICATION DISCLAIMERS
7.1 Prescription Issuance and Scope

Following a psychiatric evaluation or follow-up appointment, a licensed provider at Mind Wellness may determine that a prescription medication is clinically appropriate as part of your treatment plan. However, the decision to prescribe any medication rests solely with the provider, based on their professional judgment, applicable standards of care, and current medical guidelines.

Mind Wellness does not guarantee that a prescription will be issued during any appointment, even if the patient requests medication. The Services are intended to support mental health assessment and treatment, but not all conditions or symptoms will result in a pharmacological recommendation. When issued, prescriptions are transmitted electronically to a pharmacy of the patient's choice.

7.2 Limitations on Pharmacy Fulfillment

Mind Wellness is not affiliated with and has no control over third-party pharmacies. Once a prescription is issued, the patient must obtain the prescribed medication from their selected pharmacy. Mind Wellness does not guarantee that any pharmacy will fill the prescription or that the prescribed medication will be in stock or covered by insurance.

Common reasons a pharmacy may decline to fill a prescription include:

  • Regulatory restrictions on controlled substances

  • Inventory shortages or manufacturer backorders

  • Prior authorization requirements or insurance denials

  • Internal pharmacy discretion or policy

Patients are encouraged to contact their pharmacy in advance to confirm fulfillment feasibility, especially for time-sensitive or high-demand medications.

7.3 Controlled Substance Restrictions and Availability

Certain medications commonly prescribed for conditions like ADHD (e.g., Adderall, Vyvanse) are classified as Schedule II controlled substances and are subject to strict federal and state regulations. These medications may be limited in availability due to DEA production quotas, require in-state pharmacy fulfillment, be subject to additional verification procedures, or be denied by some pharmacies due to internal risk policies.

Mind Wellness complies fully with all applicable laws and regulations regarding the prescription of controlled substances. However, we cannot ensure or expedite fulfillment of such medications once a prescription has been written. Patients acknowledge that prescription issuance does not guarantee pharmacy access and agree that they remain responsible for coordinating with their pharmacy and insurer to obtain prescribed medications.

Mind Wellness is not liable for any inconvenience, cost, or harm arising from a patient’s inability to fill a prescribed medication.

8. USE OF THE WEBSITE
8.1 Informational Nature of Website Content

The Mind Wellness website (the “Site”) is intended to provide general information about our telehealth psychiatric services, booking procedures, provider qualifications, and practice policies. The content on this Site, including text, graphics, images, and any other materials, is provided for informational and educational purposes only.

While we strive to ensure that the content is accurate and up to date, Mind Wellness makes no representations or warranties as to the completeness, accuracy, reliability, or timeliness of any information published on the Site.

8.2 No Medical Advice through Website Content

No content on this Site constitutes medical advice, diagnosis, or treatment. Nothing on the Site is intended to substitute for professional medical judgment, and reading or viewing information on the Site does not establish a provider-patient relationship.

If you have medical questions or concerns, consult a licensed healthcare professional during a scheduled appointment. Do not rely on website content, blog posts, FAQs, or general messaging as a substitute for personalized care or treatment recommendations.

8.3 Emergency Medical Disclaimer (Not for Crisis Use)

The Site and associated telehealth services offered by Mind Wellness are not designed or intended for use in emergencies. If you are experiencing a psychiatric or medical emergency, including thoughts of self-harm or harm to others, do not use this Site or attempt to contact Mind Wellness. Call 911 or go to your nearest emergency room immediately.

Mind Wellness does not monitor or respond to crisis messages submitted through contact forms or appointment requests.

8.4 User Conduct and Prohibited Uses

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not use the Site:

  • To transmit or upload any content that is unlawful, harmful, defamatory, abusive, harassing, or obscene;

  • To interfere with the proper functioning of the Site, including by introducing viruses or other harmful code;

  • To impersonate any person or misrepresent your identity or affiliation;

  • To attempt unauthorized access to systems, data, accounts, or features of the Site;

  • To solicit or promote third-party services unrelated to Mind Wellness;

  • To violate any applicable local, state, national, or international law or regulation.

Mind Wellness reserves the right to suspend or terminate your access to the Site for any violation of these terms or for any conduct deemed harmful to the Site's integrity or the safety of its users.

9. PRIVACY AND DATA COLLECTION
9.1 Patient Information Collection via Website

Mind Wellness collects personal and health-related information through its website to provide telehealth services, process appointments, and communicate with patients. Information may be collected when you book an appointment through the online scheduling platform (e.g., Acuity), submit responses to symptom questionnaires or intake forms, provide insurance or payment information, or contact us via web, email, or other digital communication.

This information may include your name, contact details, date of birth, health history, current symptoms, payment credentials, and insurance information. By using the Site, you consent to collecting this information for legitimate business and clinical purposes.

9.2 Use and Storage of Health and Payment Data

All personal and health-related data submitted through the Mind Wellness platform is used solely for care delivery, billing, scheduling, and practice administration. Credit card information is processed and stored securely through a third-party, PCI-compliant payment processor. Mind Wellness does not directly store or access full credit card numbers.

Health information collected through the Site is stored in secure, encrypted systems in compliance with applicable privacy and security regulations. Only authorized personnel have access to this data, and all such access is subject to internal confidentiality and security protocols.

Mind Wellness does not sell or share patient information with third-party marketers. Any data disclosures to insurers, pharmacies, or healthcare collaborators are made only as necessary to fulfill patient care or billing requirements and in accordance with privacy law.

9.3 HIPAA and Confidentiality Notice (Reference to Separate Privacy Policy)

Mind Wellness complies with the Health Insurance Portability and Accountability Act (HIPAA) and applicable state privacy laws governing the protection of personal health information (“PHI”). All patient data collected and used by Mind Wellness is handled in accordance with HIPAA’s privacy and security standards.

A separate Privacy Policy is available on the website. It provides more detailed information regarding what data we collect, how it is used and shared, your HIPAA and applicable law rights, and how to contact us with privacy-related concerns.

By using our Services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your information as described.

10. INTELLECTUAL PROPERTY
10.1 Ownership of Website Content

All content on the Mind Wellness website—including but not limited to text, graphics, logos, images, icons, audio and video materials, design elements, software, and documentation—is the exclusive property of Mind Wellness or its licensors and is protected under United States copyright, trademark, and other intellectual property laws.

Mind Wellness also owns the intellectual property rights to the compilation, arrangement, and presentation of all content on the Site, as well as the overall look and feel. Unauthorized use of any content may violate applicable laws and result in civil or criminal liability.

10.2 Limited License to Use

Mind Wellness grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for personal, non-commercial purposes and only in connection with booking or receiving Services.

This license does not grant you ownership rights or interest in the Site or its contents. You may not modify, reproduce, distribute, create derivative works from, publicly display, or otherwise exploit any part of the Site without the prior written consent of Mind Wellness.

10.3 Restrictions on Use of Content

You agree not to:

  • Copy, download, distribute, or modify any content from the Site for commercial or public use;

  • Use any data mining, robots, or similar tools to extract or collect data from the Site;

  • Frame or mirror any part of the Site without written permission;

  • Remove, obscure, or alter any copyright, trademark, or proprietary notices appearing on the Site.

All trademarks, service marks, logos, and trade names displayed on the Site are the property of Mind Wellness or its licensors. Use of these marks without prior written permission is strictly prohibited. Mind Wellness reserves all rights not expressly granted in these Terms.

11. LIMITATION OF LIABILITY
11.1 No Warranty of Medication Efficacy or Availability

Mind Wellness provides psychiatric evaluations and medication management services based on professional clinical judgment. However, we do not guarantee that any prescribed medication will be effective for a particular individual or condition. Medication responses vary significantly among patients, and outcomes depend on multiple medical, genetic, and lifestyle factors outside our control.

Furthermore, we do not guarantee that any prescribed medication will be available at your chosen pharmacy or covered by your insurance provider. Mind Wellness is not responsible for pharmacy inventory issues, insurance denials, or regulatory restrictions on specific medications, including controlled substances like Adderall.

11.2 No Guarantee of Clinical Outcomes

Mind Wellness strives to deliver high-quality care based on current psychiatric standards. However, we do not guarantee any particular result or outcome from treatment, diagnosis, or medication management. Mental health treatment is inherently individualized, and patient progress may depend on factors such as personal history, treatment adherence, medication access, and environmental circumstances.

By using our Services, you acknowledge and agree that Mind Wellness shall not be held liable for failure to achieve symptom relief or treatment goals, side effects or adverse reactions to medications, refusal to prescribe or continue specific treatments, and differences of opinion or treatment recommendations among providers.

11.3 Website Access and Technical Limitations

Mind Wellness aims to ensure continuous access to its website and telehealth platform. However, we make no warranty or guarantee that the Site will always be available, secure, or error-free. Technical issues such as maintenance, internet outages, platform errors, or third-party service disruptions may affect your ability to book appointments, access your session, or communicate with our team.

Mind Wellness shall not be liable for any delay, loss, interruption, or damages arising from your inability to access the Site or services due to technical failures or circumstances beyond our control.

You are responsible for ensuring that your internet connection, device settings, and telehealth access comply with our minimum technology requirements.

12. INDEMNIFICATION

You agree to use the Mind Wellness website and Services only in accordance with these Terms and all applicable laws and regulations. You further agree that you are solely responsible for any violation of these Terms, including but not limited to providing false or misleading medical or personal information, misusing telehealth services or prescriptions, engaging in any prohibited conduct described in these Terms, attempting to access services while outside of approved jurisdictions, and unauthorized use of protected content or intellectual property.

If your actions result in any claim, dispute, demand, liability, damage, loss, or cost (including attorney’s fees), you agree to indemnify and hold Mind Wellness, its owners, providers, affiliates, employees, and contractors harmless to the fullest extent permitted by law.

To the maximum extent allowed by applicable law, you agree to defend, indemnify, and hold harmless Mind Wellness and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal and accounting fees) arising out of or in any way connected with your access to or use of the website or services, your violation of these Terms or any applicable laws or regulations, any allegation that your use of the services or website infringes or violates the rights of any third party and any medical or pharmacy-related disputes arising from prescriptions issued through our Services.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Site and Services.

13. GOVERNING LAW AND JURISDICTION
13.1 Choice of Law

These Terms and Conditions, along with any dispute or claim arising out of or in connection with your use of the Mind Wellness website or services, shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. If you receive services while located in Nevada, Mind Wellness may, at its discretion, apply Nevada law as the governing jurisdiction for those specific services.

By using the Site and Services, you agree to submit to the applicable laws and regulations of the state where you are located at the time of your appointment.

13.2 Dispute Resolution (Mediation and/or Arbitration)
In the event of any dispute, claim, or disagreement arising from or relating to these Terms or the services provided by Mind Wellness, you agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved informally, the parties agree to submit the matter to confidential mediation administered by a neutral third party.

If mediation does not resolve the dispute, the matter shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or another agreed-upon arbitration provider. The decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction. You expressly waive the right to a trial by jury or to participate in a class action lawsuit.

13.3 Venue for Disputes 
Unless otherwise agreed in writing, any legal action, proceeding, or arbitration arising from or related to these Terms or your use of the Mind Wellness website or services shall occur in the county and state where the patient received telehealth services (i.e., California or Nevada). The exclusive venue for patients in California shall be Los Angeles County, California. The exclusive venue for patients in Nevada shall be Clark County, Nevada. Each party consents to personal jurisdiction in the applicable state and waives any objection to venue or forum non conveniens. 

14. MODIFICATIONS TO TERMS
14.1 Right to Modify
